Welcome to LegisHawk. These Terms of Service ("Terms") govern your access to and use of the LegisHawk mobile application, website, and related services (collectively, the "Services"). Please read these Terms carefully before using LegisHawk.
By creating an account or using LegisHawk, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.
Arbitration Notice: Section 17 of these Terms contains a binding arbitration provision and a class action waiver. By agreeing to these Terms, you agree to resolve disputes with LegisHawk through individual arbitration rather than in court. Please read Section 17 carefully.
LegisHawk is a private, independent civic technology service. We are not affiliated with, endorsed by, sponsored by, or connected to the Iowa Legislature, the Iowa Governor's office, any Iowa state agency, or any government body at any level. LegisHawk is a tool built by and for Iowa citizens to make public legislative information more accessible.
You must be at least 13 years old to create an account and use LegisHawk. By creating an account, you represent and warrant that:

You may not share your account credentials with others or allow other individuals to use your account. LegisHawk is not liable for any loss or damage arising from unauthorized access to your account that results from your failure to adequately protect your credentials.
Subject to your compliance with these Terms, LegisHawk grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your personal, non-commercial informational purposes.

LegisHawk displays campaign finance contribution data and lobbyist registration and compensation information sourced from public records. This data relates to real individuals and organizations. By accessing this data, you agree that you will not:
You retain ownership of content you create within LegisHawk, such as your watchlist selections and your values/interest profile ("Your Content"). By using the Services, you grant LegisHawk a limited, worldwide, non-exclusive, royalty-free license to store, process, and use Your Content solely to provide the Services to you. This license terminates when you delete Your Content or delete your account.
You represent and warrant that Your Content does not violate any third-party intellectual property rights, privacy rights, or applicable law.
LegisHawk provides access to live Iowa Legislature floor session audio through a third-party streaming service. You acknowledge that:

LegisHawk will make reasonable efforts to notify users of significant changes through the App, but is not required to do so for minor updates or changes.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEGISHAWK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
LEGISHAWK SOURCES DATA FROM GOVERNMENT WEBSITES AND THIRD-PARTY PROVIDERS. SCRAPING ERRORS, SOURCE WEBSITE CHANGES, GOVERNMENT PROCESSING DELAYS, AND ERRORS IN UNDERLYING GOVERNMENT RECORDS CAN ALL CAUSE THE APP TO DISPLAY INCORRECT, OUTDATED, OR MISSING INFORMATION. LEGISHAWK MAKES NO WARRANTY WITH RESPECT TO SUCH THIRD-PARTY DATA.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEGISHAWK AND ITS FOUNDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:
EVEN IF LEGISHAWK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
LEGISHAWK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00), REGARDLESS OF THE FORM OF THE ACTION OR THE BASIS OF THE CLAIM.
The limitations in this Section apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, LegisHawk's liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless LegisHawk and its founders, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
LegisHawk reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with LegisHawk's defense of such claim.
The Services may contain links to third-party websites, apps, documents, and services, including official Iowa Legislature pages, news articles, fiscal notes, bill text documents, hearing links, and live audio streams. These links are provided for informational convenience only. LegisHawk does not endorse, control, or take responsibility for:
Your use of third-party services is governed by those services' own terms of use and privacy policies. We encourage you to review them before use.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Before initiating any formal dispute proceeding, you agree to contact LegisHawk at legal@legishawk.app with a written description of your dispute and the relief you seek. We will attempt to resolve your concern within 30 days. If we cannot resolve the dispute informally within 30 days, either party may proceed to arbitration as described below.
If informal resolution is unsuccessful, you and LegisHawk agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including the breach, termination, enforcement, interpretation, or validity thereof) exclusively through binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as otherwise provided in this Section. The arbitration shall take place in Iowa or, at your election, by telephone or video conference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND LEGISHAWK EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION OR PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Notwithstanding the above, either party may seek: (i) emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration; or (ii) relief in a small claims court for disputes within the court's jurisdictional limit.
Filing fees and arbitrator fees will be allocated as provided in the AAA Consumer Arbitration Rules. For claims of $75 or less, LegisHawk will pay all AAA fees if you cannot afford them and the arbitrator finds your claim is not frivolous.
If any portion of Section 17 is found to be unenforceable, the unenforceable portion shall be severed and the remainder of this Section shall continue in full force and effect, except that if the class action waiver is found unenforceable, the entirety of this Section 17 is null and void.
These Terms are governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 17, you consent to exclusive jurisdiction and venue in the state and federal courts located in Iowa.
You may terminate your account at any time by using the in-app deletion feature at Settings > Account > Delete Account or by contacting us at legal@legishawk.app. Deletion is permanent and irreversible.
LegisHawk reserves the right to suspend or permanently terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:
Termination of your account does not limit any other remedies LegisHawk may have available. Sections 6, 7, 8, 13, 14, 15, 17, and 18 of these Terms survive termination.
LegisHawk may update these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you via a prominent notice in the App. Your continued use of the Services after the new effective date constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services and may delete your account.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LegisHawk regarding the Services and supersede any prior agreements or understandings.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
LegisHawk's failure to enforce any right or provision in these Terms shall not constitute a waiver of that right or provision unless acknowledged in writing by LegisHawk.
You may not assign or transfer your rights under these Terms without LegisHawk's prior written consent. LegisHawk may freely assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
LegisHawk shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond its reasonable control, including acts of God, government action, pandemic, natural disaster, internet infrastructure failures, or third-party service outages.
